Terms of Agreement Private Pay Alchemizer Intensive

The Private Pay Alchemizer was built on a simple belief: when therapists are financially sustainable, they can do more good in the world. Everything in this program, from the curriculum to the coaching structure to the investment model, has been carefully designed to reduce your risk and maximize your success. We do not take it lightly that you are trusting us with your time, your money, and your professional growth. In return, we are committing our expertise, our systems, and our genuine care to helping you build a practice that works. This is a partnership. These terms exist to make sure both sides show up fully to honor it.


You (referred hereby as the Student) agree to enroll, by your own free accord, into an educational program focused on helping solo-practitioners gain the education, skills, and plan they need to succeed in building a successful private pay practice.


To fully experience and gain the most benefit from our programs, you agree to:


  • Come coachable and open to all feedback in order to reach your desired results.

  • Implement and take action on all material.

  • Pay as agreed.

  • Take personal responsibility for your results of the program.

  • Share your work regularly so your coaches have insight into how you’re implementing things.

  • Ask questions when you’re not sure or need clarification and regularly receive feedback.


To fully experience and gain the most benefit from our programs, we agree:


We are committed to offering you the best education in business as it pertains to private practice.


We are committed to providing all participants with a positive experience. Thus, ASK.ABIGAIL LLC may, at its sole discretion, limit, suspend, or terminate your participation in any of its programs, live, recorded, social-based, or digital without refund or forgiveness of remaining payments if the Student:


  • Engages in conduct that materially disrupts the program or interferes with other participants' ability to participate, including but not limited to harassment, threatening behavior, or repeated violations of program guidelines after written warning;

  • Fails to follow the program guidelines; or,

  • Impairs the participation of our instructors or participants in our program(s).


Privacy and Confidentiality:


We respect your privacy and must insist that you respect the privacy of fellow Program participants. We respect your confidential and proprietary information ideas, plans and trade secrets (collectively, "Confidential Information") and must insist that you respect the same rights of fellow Program participants and of the Company.


Thus, you agree:


  • Not to infringe any Program participants or the Company's copyright, trademark, patent, trade secret or other intellectual property rights;

  • That any Confidential Information shared by Program participants or any representative of the Company is confidential and Proprietary, and belongs solely and exclusively to the Participant who discloses it or the Company;

  • Not to disclose such information to any other person or use it in any manner other than in discussion with other Program participants during Program sessions;

  • That all materials and information provided to you by the Company are its confidential and proprietary intellectual property belong solely and exclusively to the Company, and may only be used by you as authorized by the Company;

  • The reproduction, distribution and sale of these materials by anyone but the Company is strictly prohibited;

  • That if you violate, or display any likelihood of violating, any of your agreements contained in this paragraph the Company and/or the other Program participant(s) will be entitled to injunctive relief to prohibit any such violations to protect against the harm of such violations.


While you are free to discuss your individual results from our programs and training, you must keep the experiences and statements, oral or written, of all other participants in the strictest of confidence.


You further agree that your participation is subject to our Privacy Policy and Terms of Use.


PROGRAM CONTENT:


  • The program is intended for general education and information on building a solo-private practice in mental health and does not purport to be, nor should it be construed as, advice or counseling tailored to any specific niche, business or industry. Content is centered around Marketing and Sales and Caseload management as a sole-proprietor offering mental health services.

  • The Program is intended for general education and information on building a solo-private and is prohibited from being used in a group practice to team members. In the event that your solo-practice grows into a group and you wish to teach or provide the same teachings to team members you may enroll in our Platinum program where such rights are given.

  • All materials, procedures, policies, and standards, all manuals, all teaching aids, and the like that have been or will be made available by ASK. ABIGAIL LLC or its designated facilitators, or any other source, oral or written, are for individual use in or in conjunction with this training program only.

  • Program content is for individual use only, and may not be sold, tape recorded, videotaped, shared, taught, given away, or otherwise divulged without the express written consent of ASK. ABIGAIL LLC, or its designated agent.

  • The information contained in program material is strictly for educational purposes. Therefore, if you wish to apply (or not apply) ideas contained in this material, you are taking full responsibility for your actions.

  • We assume no responsibility for errors or omissions that may appear in any program materials.


OFFER AND INVESTMENT PAYMENT TERMS:


  • The program is a 20 week program that provides weekly group coaching calls, slack support, and life-time access to our kajabi platform where teaching modules walk you through several strategies to help market private pay clients. The program is designed to give you the education, help you build the skills, and create a plan to acquire consistent private pay clients. The Company values this program at $100,000 based on potential outcomes, though actual results will vary by participant.


  • The total investment for this program is $5,700. A minimum deposit is required to secure your spot of at least $1,000. The entirety of the required payment must be paid according to our pre-agreed payment plan.


  • Therapists of Color receive their own payment plans to increase accessibility. Please see Commitment to Racial Equality Handout for Details.


  • Payment Obligation student agrees to pay the total program fee of $5,700 according to the following payment schedule:

    • One-time payment of $5,700 or 8 payments of $825

    • If a student selects a payment plan, the student authorizes recurring charges on the payment method provided according to the agreed schedule.

  • NO REFUNDS: Student ACKNOWLEDGES AND AGREES THAT ALL PAYMENTS FOR THIS COACHING PROGRAM ARE FINAL AND NON-REFUNDABLE, INCLUDING DEPOSITS. Once payment is received, no refunds will be issued for any reason, except as required by applicable law or as specifically provided in the Coach's Obligations section below, including but not limited to: deposits to secure place in program, student's failure to attend sessions, student's dissatisfaction with the program, student's change of mind, or student's personal circumstances. By enrolling in this program, student acknowledges having read and understood this no-refund policy.

  • Payment Plan Commitment: If student enrolls in a payment plan, student agrees that all scheduled payments remain due and payable according to the original schedule regardless of student's participation in or completion of the program, except as provided in the Coach's Obligations section. Students may not pause, suspend, or defer payments once the payment plan has commenced. Failure to participate in coaching sessions does not relieve students of the obligation to make all scheduled payments.

  • Cancellation: Students may cancel future services at any time by providing written notice to Coach; however, all payments made prior to cancellation are non-refundable except as required by applicable law or as provided in the Coach's Obligations section, and if on a payment plan, student remains obligated to pay any remaining installments for services already rendered or scheduled.

  • Late Payments: If any payment is not received when due, Coach reserves the right to suspend services until payment is received and may charge a late fee of 10% of the outstanding balance, and or send remaining payments due to collections. The student remains responsible for all scheduled payments regardless of service suspension.

  • Coach's Obligations: Coach agrees to provide the services described in the Program Description section of this Agreement. In the event Coach cannot offer services consistently, student does not lose time in the program due to Coach. In the event Coach is unable to provide the agreed-upon services due to Coach's incapacity, death, or material breach, students may be entitled to a pro-rated refund for services not yet delivered.

  • Acknowledgment:  By signing below, students acknowledge that they have read, understood, and agree to this Payment and Refund Policy, including the no-refund provision and continuous payment obligation for payment plans.


NO GUARANTEES:

Company makes no guarantees about Client and Company’s work together. Client agrees that any statements made by Company regarding potential outcomes are opinions and are not binding on Company. Company may provide testimonials from previous clients, which is not to be relied upon to predict results in your specific situation. The results you experience will be dependent on many factors including, but not limited to your level of personal responsibility, commitment, and abilities, in addition to those factors that you and/ or Company may not be able to anticipate.


NOT PROFESSIONAL MEDICAL ADVICE: Company will only be providing the services that are explicitly listed above in the “Services Included” section and at no time should any of Company’s services be considered a substitute for professional medical or mental health services, nor should the service be construed as professional therapy. Company’s services are not intended to treat, diagnose, cure, or prevent any disease. If at any time Client needs medical, and/or psychological treatment, it is Client’s responsibility to seek it out.


NOT LEGAL OR FINANCIAL ADVICE: At no time should any of the Company’s services be considered a substitute for professional legal or financial advice. If at any time Client needs legal or financial services, it is Client’s responsibility to seek it out.


EARNINGS DISCLAIMER: Any information provided by Company regarding wealth, abundance, income, earnings, business profits or personal financial status is for informational purposes only. The information may provide real-life examples and/or hypothetical examples of possible outcomes, which are in no way guarantees of what will occur in your specific situation. As you know, financial outcomes depend on many factors including but not limited to your level of personal responsibility, commitment, and abilities, in addition to those factors that you and/or Company may not be able to anticipate. You agree that Company is not responsible for your success, or lack thereof. Your reliance on any information provided is done at your own risk.


THIRD-PARTY CONTRACTOR DISCLAIMER:

As part of the program, you may be offered access to services provided by third-party contractors, including but not limited to hypnotherapists, energy psychology practitioners, web designers, and digital marketing professionals (e.g., SEO and website design). These services are offered as a courtesy or enhancement and are not directly provided, managed, or supervised by ASK.ABIGAIL LLC.

By choosing to engage with any third-party providers, you acknowledge and agree that:

  • These providers operate independently and are not employees or agents of ASK ABIGAIL LLC

  • ASK.ABIGAIL LLC makes no guarantees regarding the services, advice, or outcomes provided by any third-party contractor. You release ASK.ABIGAIL LLC from any and all liability arising from or related to your participation in third-party services, except for liability arising from ASK.ABIGAIL LLC's gross negligence or willful misconduct in selecting or recommending such third-party contractors.

  • Any concerns, disputes, or claims related to those services must be addressed directly with the provider.

Participation in these offerings is entirely voluntary and at your own discretion.

RECORDING CONSENT AND RELEASE:

Our program thrives because of the community we build together. When students share their wins, their breakthroughs, and their real progress, it does two things: it inspires the students sitting next to them, and it shows future therapists what is possible. Being part of that is one of the most meaningful contributions you can make to this community and to the profession. With that spirit in mind, here is how we handle recordings, content, and your likeness.


PART 1: LIVE SESSION RECORDINGS


By enrolling in this program, you acknowledge and agree that group coaching sessions may be audio and/or video recorded by ASK.ABIGAIL LLC for the following purposes:


- Program delivery and review

- Internal training and quality assurance

- Educational use within current and future cohorts

- Marketing and promotional use as outlined below

Use of Likeness and Voice:

Your voice, image, and name as displayed on Zoom or other live platforms during group sessions may be captured in these recordings. ASK.ABIGAIL LLC may use these recordings internally and, with your express written consent, for promotional or educational content made available beyond the current cohort.


You hereby waive all rights to claims or demands for payment or royalties in connection with the use of such materials for the purposes described in this Agreement, provided that ASK.ABIGAIL LLC will not use your likeness or voice for commercial advertising purposes without your separate written consent. ASK.ABIGAIL LLC owns all rights in and to any such recording, including any copyright and/or trademark relating to such use.


PART 2: WRITTEN CONTENT AND COMMUNITY PARTICIPATION


We love celebrating our students. When you share a win, a milestone, or a breakthrough in our Slack community or via direct message, we may occasionally use that written content as social proof or to promote the program, including in paid advertising and video sales letters.


We want to be transparent about how we do this and the care we take:


  • We may screenshot or reference written wins, testimonials, or updates shared in Slack or via direct message.

  • We will always remove or obscure your last name and blur your profile image before sharing anything publicly, regardless of your consent status. This is our standard practice and reflects our genuine commitment to your privacy.

  • Your first name or professional title may still appear unless you request otherwise.

  • Written testimonials you provide voluntarily are considered consent to use that content for promotional purposes.


By enrolling and participating in our Slack community and program communications, you agree that written content including wins, milestones, and breakthroughs you share may be used for social proof and promotional purposes including paid advertising. We will always protect your privacy by removing last names and blurring profile images before any public sharing.


We are transparent about this because it matters: social proof is what allows us to keep running a program that works. The students who came before you shared their wins so you could find us. We hope you will pay that forward.


If you do not want your written content used for promotional purposes, you must notify us in writing before your program begins.


PART 3: OPT-OUT PATHWAYS


We understand that privacy matters and we respect that. All students, regardless of participation pathway, receive the same program benefits including:


  • Full access to all curriculum and program materials

  • Weekly group coaching calls

  • Designated VIP Sessions

  • Full Slack community access and coach support

  • Homework review and feedback


The pathways below only determine how you participate in live recorded sessions:


PATHWAY 1: STANDARD PARTICIPATION (Recommended)

Student participates on camera in live group coaching calls. This is our recommended pathway as it supports the full community experience, allows your coach to observe your engagement, and maintains your eligibility for the ROI guarantee.


PATHWAY 2: PRIVACY PARTICIPATION

Student opts out of appearing in live recorded sessions. Instead of attending live calls on camera, the student engages through session recordings, which are made available after each call. All other program benefits remain fully intact.


We have found that off-camera attendance can unintentionally shift the energy of our live coaching environment for everyone in the room. In designing Pathway 2, our intention is not to exclude you but to offer a participation style that honors both your privacy and the integrity of the group experience.


Because live participation is a key component of how we document engagement and progress, students on Pathway 2 may no longer be eligible for the ROI Guarantee. We will always work with you to explore alternative documentation methods where feasible.


To select Pathway 2, students must notify ASK.ABIGAIL LLC in writing prior to their program start date.


Limited Liability:


The amount of liability recoverable for any cause of action that arises under this agreement shall not exceed the amount paid for services outlined in this agreement, regardless of whether the cause of action is based in tort, contract or any other theory of liability. Under no circumstances will the company be liable for special, incidental, indirect, or consequential damages of any kind, or for any loss of use, business interruption, costs of procurement of substitute goods or services, lost profits, or lost data, even if the client has been advised of the possibility of such damages.


INDEMNIFICATION:


To the fullest extent of the law, the Client shall indemnify, defend and hold harmless Company, its officers, employees, agents, representatives, consultants, and contractors from and against any and all loss, costs, penalties, fines, damages, claims, expenses (including attorney’s fees) or liabilities arising out of, resulting from, or in connection with the services contemplated by this Agreement.


TERMS OF SALE:


You hereby ratify your understanding that all program sales are non-refundable and waive any rights to charge-back your purchase with your credit card processor. You’re required to schedule and take an exit interview with one of our team members over the phone at the end to help us create a better experience for future students.


GUARANTEE AND CONTINGENCY

1. Guarantee Terms

Coach guarantees that if Student completes all program requirements as outlined below and does not acquire eight (8) new private pay clients (weekly or biweekly) or equivalent revenue during the program period, Student will receive four (4) additional weeks of group coaching support at no additional cost along with a full remote audit from Abigail. No individual support is extended.

Should Student continue to not see results after the extension, and can document consistent implementation as outlined in program and any feedback provided from coach, student may be eligible for continued group support in the program. Group support specifics are determined on a case-by-case basis and revisited every 2 weeks.

2. What Counts Toward the Guarantee

Student may satisfy the guarantee through any of the following, provided the revenue or opportunity was generated as a direct result of implementing program strategies:

Eight (8) new private pay therapy clients acquired at a minimum session rate of $175, seen weekly or biweekly, during the program period.

OR documented equivalent income/ revenue from program-taught visibility and positioning strategies, including any combination of:

  • Therapy Intensives

  • Speaking engagements booked as a result of increased visibility

  • Workshops or intensives launched and promoted using program strategies

  • Group programs created and filled using program positioning and marketing

  • Consulting or supervision work acquired through program-taught outreach and visibility

  • Additional revenue from moving off insurance to private pay

3. Equivalency Standard

The program has often helped clinicians position themselves and increase visibility in a way that attracts other opportunities for clinicians. Our students have successfully sold Intensives, received paid speaking jobs, and even sold groups and workshops using the strategies taught in the program. In addition, many students who we’ve helped move off of insurance to private pay increase their income simply from this transition. Thus, such revenue or income will also be eligible towards a student's guarantee. 

Equivalent revenue and opportunities are assessed at Abigail's discretion based on her direct observation of the student's implementation throughout the program. Students are not required to formally document or claim equivalent revenue. Abigail may recognize and apply equivalent revenue toward a student's guarantee based on her knowledge of the student's progress and visibility growth during the program period."

4. Guarantee Contingency

Student must meet all requirements outlined in Section 5 to be eligible. The guarantee exists because when both sides show up fully, results are not just possible, they are expected. It is a partnership, not a safety net.


3. Skill Mastery Acknowledgment: 

Student acknowledges that copywriting, marketing, and sales consultation are skills that require practice and may not be mastered immediately. Company's obligation is to teach these skills through Coach, provide examples and frameworks, review Student's work within the timeframes specified in Section 4, and provide actionable feedback. Student's obligation is to make good-faith efforts to develop these skills by submitting work for review on the schedule specified in this Agreement, applying feedback provided within the timeframes specified herein, practicing the skills taught, and conducting the minimum number of consultation calls specified in Section e) below to apply what Student has learned.

If Student demonstrates all required efforts specified in this Agreement but still does not achieve the guarantee threshold defined in Section e) above, Student qualifies for the Guarantee as defined herein. If a student fails to complete the required number of submissions, revisions, consultation calls, or marketing activities as specified in the Private Pay Alchemizer General Terms and Conduct Agreement, Student does not qualify for the Guarantee regardless of skill level achieved or ROI generated.

Student acknowledges that success in this program requires developing and applying new skills including copywriting, marketing messaging, and consultation/sales conversations. To qualify for the Guarantee, Student must demonstrate good-faith effort to develop these skills by meeting the following requirements:

Student further acknowledges that if Student completes all requirements in this agreement but does not achieve the ROI threshold defined in Section e) above, the determining factor for Guarantee qualification is whether Student made documented, good-faith efforts to develop and apply these skills as evidenced by:

  • Submission of work for review each week as specified in the Student ROI Responsibility Checklist below

  • Revision of work based on feedback

  • Conducting the required number of consultation calls as specified below.

  • Maintaining consistent marketing activities

4. Coach Responsibility

Coach is not responsible for

  • The speed at which students master these skills.

  • Resolving or addressing personal circumstances including but not limited to distractions or health matters influencing Student's ability to focus and implement material.

  • For reminding students to submit material.

  • Addressing underlying limiting beliefs that may impact Student’s success.

Company is responsible for providing, through Coach, quality teaching, feedback, and support as follows: 

  • Providing tools and templates to help ensure students learn effectively and implement with ease.

  • Alerting Student when Coach observes outside forces impacting Student's success, provided that both parties acknowledge this obligation is contingent on Student’s willingness to share relevant information about such circumstances. 

  • Providing feedback within 36 hours via Slack and Loom following Student submissions.

  • Alerting Student when Coach observes underlying limiting beliefs impacting Student’s success, provided that both parties acknowledge this obligation is contingent on Student’s willingness to share relevant information about such beliefs.

5. Student Responsibility.

  • Students are responsible for staying consistently engaged in the program to ensure results within 20 weeks. 

  • Going through the material thoroughly and following templates and guidelines accurately. 

  • Students are overall responsible for the speed in which they master the skills required to get results and understand the more engaged they are the faster they will master these skills.

  • Students are responsible for being forthcoming with coaches about their personal and professional lives so coaches can provide effective feedback.

  • Students are responsible for implementing feedback within the week it is provided.

  • Students are responsible for staying on schedule and understanding that implementing off schedule impacts their results and guarantee.


Student ROI Responsibility Checklist

  • Make all payments on time.

  • Refrain from switching niches past week 2 into the program.

  • Refrain from taking more than one pause lasting 2 weeks from the program.

a) Feedback and Revision Process:

  • Followed all website templates exactly

  • Submitted website for Coach to review copy at least [2] times

  • Submitted website for Coach to review SEO at least [2] times

  • Completed all skill exercises for each system and submitted them for Coach to  review and implement feedback from Coach.

  •  Implemented approved copy/messaging in their actual practice materials.

  • Submit Instagram content for review weekly if using instagram marketing.

  • Submitting blog posts for review weekly if using SEO marketing.

  • Sharing via voice note about networking each week so Coach can have insight into your networking process each week.

  • Following templates for promotional material for workshops and low-stake community groups, and submitting for review from Coach at least [2] times, once before promotion and once during.

b) Marketing Activity:

  • Maintained consistent marketing presence as taught in program 

    • [1] IG reel per week and 1 IG story for [12] consecutive weeks and accurately using conversion strategies.

    • [1 to 2] networking meeting per week with potential referral partners that fit under strategic criteria as described in the program.

    • [1] lowstakes community or workshop per month for at least  [3] consecutive months.

  • Implemented marketing strategies taught for at least [12] consecutive weeks with regular feedback and implementing feedback.

  • Documented marketing activities and received feedback from coach.

d) Skill-Building Participation:

  • Attended 80% of all live group calls and homework assigned from group call and submitting group call homework for Coach to review and provide feedback 

    • OR watched 80% of group call recording and submitting group call homework for Coach to review and provide feedback.

  • Completed all skill-development assignments and exercises.

e) Consultation Call Requirements:

  • Conducted at least [5] real consultation calls with prospective clients during the guarantee period and received feedback from Coach.

    • Provided documentation of consultation calls conducted (dates, outcomes, number conducted) and shared via voice memo with Coach what occurred so Coach can offer feedback

  • Participated in at least [1] mock consultation call practice sessions in group calls.

  • Demonstrated effort to apply consultation techniques taught in program and implement feedback provided by coach
